Terms of Service

Effective date: October 30, 2026

These Terms of Service ("Terms") are an agreement between you and Makesbridge Technology, Inc. ("Makesbridge," "we," "our," "us"), 9220 SW Barbur Blvd, Bldg 119 #343, Portland, OR 97219 USA. They govern your use of Society Media. By creating an account, signing in or otherwise using Society Media, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Society Media.

1. Eligibility

2. The Service

2.1 A communications medium

Society Media is a communications medium operated by Makesbridge. It transmits, hosts, displays and distributes communications that Members create. It also hosts the automations that some Member works run on.

2.2 Functions of the Service

2.3 Authorship of content

Members author the content on Society Media. Makesbridge provides the medium. Makesbridge does not author, endorse or own Member Content, and does not check it before it is transmitted or published. Output that AI features produce at a Member's request is Member Content of that Member.

2.4 Definitions

Service
Society Media: the website at societymedia.org, the web app, public district pages, the Society Media mobile apps for iOS and Android, and the related readystack.ai addresses while we move to societymedia.org.
Member
A person with a Society Media account. Where these Terms say "you," they mean you as a Member.
Guest
A person without an account who joins a call, opens a shared page or uses a public page.
Market District (district)
A group space in the Service run by one or more Founders, with its own members, ReadyStacks, Conversations and public pages.
Founder
A Member who co-founded a district.
Contributor
A Member who accepted a Contributor invitation to a specific ReadyStack and confirmed it.
Supporter
An approved district member who shares ReadyStacks using a personal share link.
ReadyStack
A market narrative that one or more Members create together in a district and publish in the Service. A ReadyStack has four parts: an editorial (written analysis), video, a diagram (schematic) and a Workflow App. The Workflow App is the working part. A ReadyStack can be published, shared with share links, copied into a Member's Ops Studio and run, and changed and shared as a new version under Section 6.3.
Workflow App
The working part of a ReadyStack. It has two components: (a) Execution Framework: the plan for completing the work. It breaks the work into jobs, sub-tasks and to-dos, each handled by a person or an AI component: an orchestrator, an agent, a skill, a connector, or hands-on work by a person. Jobs can run as a chain (each step feeds the next), as a group, or on their own, and each comes with an Execution Guide. (b) Hosted Automation Flow: the component that runs automatically once it is built. Makesbridge hosts and runs it. It is a series of steps and paths that people enter through one or more entry points, starting with the audience loaded into Makesbridge. A Workflow App can be copied into a Member's Ops Studio to run or change.
Ops Studio
A Member's workspace in the Service, powered by Makesbridge. Copies of ReadyStacks are placed there for the Member to run or change. It also holds the Member's Mass Email, Lists and Sync.
Hosted automation fee
The fee Makesbridge charges a customer for each trigger of a Hosted Automation Flow, under the price schedule in Section 5.7. It does not include charges of other app providers.
Conversation
A call held in the Service, and its recording, transcript, summaries, clips and any podcast made from it.
Shared space
A one-to-one page a Member keeps for one other person, holding their Conversations, media and notes.
Share link
A link that carries a Member's sharer code so the Service can credit that Member.
Member Content
Anything a Member creates, uploads, records, sends or adds to the Service, including messages, ReadyStacks, Conversations, files, links, contact records, prompts and AI-generated content made at their request.
AI-generated content
Text, images, transcripts, summaries and other output produced by AI features of the Service.
Narrative Voice
A writing style that an AI feature builds from a named person's published work and applies to new text.

2.5 Changes to the Service

We may add, change or remove features at any time.

3. Your account

4. Districts, roles and joining

4.1 Starting a district

Starting a district is by application only. We review each application by hand and decide whether to approve it. Applying does not create an account.

4.2 Roles

One Member can hold more than one role, in one district or several. A Founder may let district admins act for the Founder. A district admin can edit any ReadyStack in the district but cannot transfer it. A Founder is responsible for what the Founder's admins do in the district.

4.3 Joining a district

4.4 Public district pages

When a Founder publishes a district or launches a ReadyStack, its pages become public on the web. Public pages are listed in a sitemap and may be indexed by search engines and AI services. We may measure how public pages rank and appear in those services. Founders may also let the public request open roles ("Open Slots") on a ReadyStack. The Founder decides who fills them.

4.5 Deleting a district

A Founder who created a district can delete it. This deletes the district and its content in the Service. Copies that other Members made before deletion may remain in their accounts.

4.6 Transfers of ReadyStacks and districts

(a) Definitions. A "Transfer" is the assignment, through the Service, of a ReadyStack or a district from one Member (the "Transferor") to another Member (the "Transferee"). The "Transfer Date" is the date we approve a Transfer in the Service.

(b) Who may transfer. Only the Creator of a ReadyStack may transfer that ReadyStack. Only the Founder of a district may transfer that district. A district admin may not initiate or approve a Transfer.

(c) Process. A Transfer takes effect only when all of the following have occurred, in this order: (i) the Transferor initiates the Transfer in the Service; (ii) the Transferee accepts it in the Service; (iii) for a district, the Transferor confirms it after the Transferee accepts; and (iv) we approve it. We will not unreasonably withhold, condition or delay approval. We may decline or delay a Transfer for a reasonable cause, including to verify identity, prevent fraud, address a breach of these Terms, resolve an unpaid amount or comply with law, and we will tell the Transferor the reason. No Transfer takes effect until we approve it.

(d) Scope of a district Transfer. When initiating a district Transfer, the Transferor designates which ReadyStacks of which the Transferor is the Creator will be included. Only designated ReadyStacks are included. ReadyStacks created by other Members remain with their Creators and are not included in any district Transfer.

(e) Effect. On the Transfer Date: (i) the Transferee becomes the Creator of each transferred ReadyStack and, for a district, its Founder; (ii) the Transferor's rights to manage what was transferred end; and (iii) the Creator share under Section 6 for each transferred ReadyStack accrues to the Transferee for activity after the Transfer Date. Earnings for activity before the Transfer Date remain with the Transferor. Contributors, Supporters and share links already issued are not changed by a Transfer, except as these Terms provide.

(f) Transferee obligations. By accepting a Transfer, the Transferee agrees that these Terms apply to everything transferred and assumes responsibility for it from the Transfer Date, including its content, its compliance with these Terms and any Business License it requires under Section 5.2. Licenses, seats and complimentary access are not transferred.

(g) Transferor representations. By initiating a Transfer, the Transferor represents that the Transferor has the right to transfer what is transferred, that its content does not infringe the rights of others, and that the Transfer does not breach any agreement the Transferor is party to.

(h) Private arrangements. Any sale, payment, consideration or other arrangement between a Transferor and a Transferee is solely between them. Makesbridge is not a party to it, does not hold, process or guarantee any payment for it, does not value or verify what is transferred, and has no liability arising from it. Each party is responsible for its own taxes. Section 22 (Indemnity) applies to any claim arising from such an arrangement.

(i) Transfer fees. We may charge a fee for Transfers in the future. Any fee will be shown in the Service before the Transferor confirms, and is non-refundable once the Transfer is approved.

(j) No reversal. An approved Transfer is final. A reversal requires a new Transfer.

5. Plans and fees

5.1 Free account

There is no charge to open a free account. You can share ReadyStacks and earn the Supporter share in Section 6 in a district once its Founder or a District Admin has approved your request to join or invited you (Section 4.2), and you have set up payouts (Section 6.5). The Supporter share is available only in districts that qualify under Section 6.1.

5.2 Business License: $50 a month

The Business License is the paid plan. It costs $50 a month. It includes the first 2,500 Hosted Automation Flow triggers each month. Use beyond that is billed under the usage price schedule in Section 5.7.

People are from the same business when they are owners, officers or employees of the same company or its majority-owned subsidiaries. Contractors, clients, partners on a project and other collaborators are not the same business, even when they work together.

We may waive or reduce a Founder's fee, or give complimentary access, at our discretion. Complimentary access we grant counts as a license. We may end a waiver or complimentary access with notice. Being a Founder does not count as a license.

5.3 Vendors

Businesses that offer products or services in a district as vendors pay a participation fee and must meet the standards we publish. We give priority to businesses that are self-funded, not venture-backed and not publicly traded.

5.4 Workflow Apps and other providers

Makesbridge is the merchant of record for hosted automation fees. If a Workflow App uses another provider's app, that provider keeps its own charges. Only the hosted automation fee is shared under Section 6.

5.5 Billing, renewal and cancellation

5.6 Missed payments

If a Business License is cancelled or a payment fails, a 7-day grace period starts. If the license is not restored by the end of the grace period, you are removed from the district's public pages and any role you held there may be opened to others. People holding seats on that license are no longer licensed. The Supporter share is then removed from all live pages of each district where a Contributor is no longer licensed, until licensing is restored.

5.7 Usage price schedule

Usage is measured per calendar month for each Business License. Each schedule below is charged separately. The price for a month is the price of the tier the month's total usage falls in; above the top tier, the price is the price of the highest flat-priced tier plus the per-unit rate for each unit above that tier. For example, 250,000 ReadyStack triggers in a month cost $769.00 plus $0.004 for each of the 50,000 triggers above 200,000, for a total of $969.00. Prices are in US dollars and exclude taxes. We may change this schedule under Section 5.5.

500,001 to 750,000$600.00
750,001 or more$0.00075 per email

Only the ReadyStack trigger fee (the hosted automation fee) is shared under Section 6. Data hosting and mass email fees are not shared.

6. Society Media Earnings

6.1 Allocation of fees

Each hosted automation fee that a Workflow App earns is allocated as follows:

20%is allocated to the Creator of the ReadyStack (Section 4.2), the Member who built it.
40%is allocated to the Supporter whose share link brought the customer.
40%is allocated to Makesbridge, as merchant of record.

The Supporter share is available on a district's ReadyStacks only while every Contributor in that district holds a Business License or a seat on one (Section 5.2).

6.2 Crediting of shares

Credit follows the share link the customer used. Makesbridge's records determine the earnings credited to each Member. If you believe a share was credited wrongly, email support@makesbridge.com and we will review it.

6.3 Iterated versions

You may copy a ReadyStack, change it and share your version. A changed version earns only if the person who created the original approves it.

6.4 Eligibility to earn

6.5 Payment of earnings

6.6 Duration of earnings

Earnings on a share continue while your account is active and in good standing and the customer keeps paying the hosted automation fee.

6.7 Framer fees

A Framer is a Member whose Narrative Voice frames a district's editorial under an arrangement with Makesbridge. A Framer accrues $5 for each paying member of that district per billing period, unless Makesbridge agrees otherwise in writing. Framer fees are paid under Section 6.5.

6.8 Founder-priced AI skills

6.9 Nature of earnings

Earnings are a share of fees for work you do. They are not wages, not an investment and not ownership in Makesbridge or in any district. Estimates, calculators and sample figures in the Service are illustrations, not promises.

7. Sharing rules

7.1 Required disclosures on shared pages

Every page you share shows your name, states that you are compensated if the person you shared with uses the ReadyStack's Workflow Apps, and gives that person a Report control. You may not remove, hide or obscure any of these.

7.2 Permitted sharing

Share with people you have a genuine relationship with. There is no limit on the number of people with whom you may share. The number of people you reach is never a violation.

7.3 Prohibited sharing

7.4 Review process

A review starts from a report. A person then looks at the activity on the shared link: timing, source, and whether opens and clicks came from a person or an automated system. A person decides whether there was a violation. No automated system decides it.

7.5 Consequences

Earnings already paid to your Stripe account are yours, and we will not reclaim them. We may withhold fees billed but not yet paid. We will not share fees from activity after the date of our notice.

8. Community rules

8.1 Prohibited content and conduct

We do not tolerate objectionable content or abusive users. You may not post, send, record, publish or share anything that:

You may also not try to access other people's accounts or data, probe or disrupt the Service, circumvent rate limits, or scrape or copy the Service with automated tools.

Child sexual abuse and exploitation. Makesbridge maintains a policy of zero tolerance for child sexual abuse and exploitation ("CSAE"). You must not use the Service to create, upload, store, send, share, request or link to child sexual abuse material ("CSAM"), or to groom, solicit, sexualize, exploit or endanger any person under 18. Makesbridge will remove any such content, immediately terminate every account involved, and report apparent CSAM and suspected child sexual exploitation to the National Center for Missing & Exploited Children ("NCMEC") and to law enforcement and other authorities as the law requires. Our standards are published at societymedia.org/child-safety.

8.2 Reporting

We review reports promptly.

8.3 Enforcement

We may remove or restrict content, suspend or close accounts, and report conduct to the authorities. We are not required to monitor Member Content, but we may review it to enforce these Terms or the law.

9. Member Content

9.1 Ownership

You keep ownership of your Member Content.

9.2 License to Makesbridge

You grant Makesbridge a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, distribute and adapt your Member Content as needed to operate the Service. "Adapt" includes formatting, transcribing, summarizing, translating, clipping and creating previews and share cards. The license covers showing your content to the people you share it with and, when you or your district publish it, on public pages. It also covers sending it to the service providers in Section 16 for these purposes.

9.3 Content you add to a district

When you publish content in a district or contribute to a ReadyStack, you also permit that district's Founders and members to use it in the district, copy the ReadyStack into their own accounts, and share it with share links. This continues for content already published or copied before you leave.

9.4 Your responsibility

You are responsible for your Member Content. You confirm you have all rights and permissions needed for it, including from people who appear in it, and that it follows these Terms and the law.

9.5 Removing content

You can delete your own messages and posts. Removing content does not remove copies others already made, content already distributed, or copies kept for a limited time in backups.

9.6 Copies and personal pages

When you copy a ReadyStack, the Service creates a personal page and landing page for your copy under the district's address. It may also set the copy up in your Makesbridge account. You are responsible for what you add to your copy.

10. Third-party content you bring in

11. Calls, recordings and transcripts

11.1 Calls

The Service hosts one-to-one calls, group and district calls, and scheduled meetings that guests join by link. Calls run on a third-party video provider (Section 16).

11.2 Starting a recording

11.3 Recording notice

When a recording starts, the Service displays an in-call notice to every other participant stating that recording has started, with the option to remain on or leave the call, and displays a recording indicator to all participants for as long as the recording continues. The Service does not obtain recording consent on behalf of any Member, Guest or other participant, and the notice and indicator do not constitute consent.

11.4 Responsibility for consent

The recording Member is solely responsible for obtaining every consent required by applicable law from each participant, including Guests, before and throughout the recording. The recording Member must:

You must not record any person by any other means without that person's consent. You will indemnify Makesbridge under Section 22 against claims arising from a recording you start without a consent that applicable law requires.

11.5 Transcripts and AI output

From a recording, the Service may produce a transcript, a summary, highlights, clips, quote cards and draft articles. These are AI-generated content and Section 12 applies.

11.6 Retention of recordings

Recordings are kept for 90 days and then deleted, unless the recording is used in a ReadyStack podcast or filed to Source Materials. Those recordings are kept until deleted from the Service.

11.7 Publishing

A recording and its podcast can be kept private, shared in the district or published on a public podcast page. The recording Member decides, subject to Section 11.4.

12. AI features, Narrative Voices and Framers

12.1 Use of AI

The Service uses AI from third-party providers to transcribe, summarize, score, draft, generate images and run automations. Your Member Content is sent to those providers to do this.

12.2 AI output

AI output can be wrong, incomplete or similar to other people's output. Review it before you rely on it or publish it. You are responsible for AI-generated content you publish or send.

12.3 Narrative Voices and Framers

12.4 No misuse

You must not use AI features to violate Section 8, to create content that deceives people about who made it, or to circumvent any provider's usage rules.

13. Email and automations sent on your behalf

13.1 You are the sender

Workflow Apps and email campaigns you set up can send email, send alerts, add tags, update scores and trigger other tools on your behalf. Scheduled campaigns and automations run later without your presence. You are the sender of these messages and are responsible for them.

13.2 Anti-spam rules

13.3 Makesbridge account

Email campaigns, lists and hosted automations run through a Makesbridge account linked to your Society Media account. Section 14 explains how these Terms relate to any separate Makesbridge agreement you have.

13.4 Required pauses

If we reasonably believe an automation or campaign breaks these Terms or the law, or harms recipients or the Service, we may require you to pause or stop it, and we may suspend or close your Makesbridge account or your Society Media account if you do not.

14. Makesbridge services

These Terms also cover the Makesbridge services that Society Media uses: hosted automation, Workflow Apps, contact lists and sending, and payments and payouts. You do not need a separate agreement to use them through Society Media.

15. Hosted contacts, ownership and security

15.1 Hosted Contacts and Mass Email

(a) "Hosted Contacts" means all contact records stored in a Member's Ops Studio Lists, including records added manually, imported, synchronized from third-party tools through Sync, or collected when a person enters a Hosted Automation Flow. Makesbridge hosts Hosted Contacts on the Member's behalf.

(b) Data hosting fees are calculated on the peak number of unique Hosted Contacts stored during each billing month, in accordance with Section 5.7(b).

(c) "Mass Email" means email campaigns sent from the Ops Studio to a Member's Lists. Mass Email fees are calculated per email sent, in accordance with Section 5.7(c).

15.2 Ownership

15.3 Your responsibilities for contacts

15.4 Information security

15.5 Shared spaces

A Shared space is private to you and the person it is for. It becomes public only when both of you turn on sharing. Either of you may turn it off. Anyone with the private link can open the page, so you must keep the link private.

16. Other services

The Service uses services run by others, including:

We are not responsible for those services. Your use of a service you connect directly, such as Google or Stripe, is governed by its terms. When you sign in with Google, our use of the data we receive follows the Google API Services User Data Policy, including its Limited Use requirements. You can revoke access in your Google account settings.

17. Privacy and your data

18. Our property

The Service, including its software, design, names and logos, belongs to Makesbridge. These Terms give you a limited, personal, non-transferable, revocable right to use it. They give you no other right in it.

19. Feedback

If you send us ideas or suggestions, we may use them without any obligation to you.

20. Disclaimers

The Service is provided "as is" and "as available." To the extent the law allows, we make no warranties, express or implied, including that the Service will be uninterrupted, error-free or secure, that AI output will be accurate, that content will be kept, or that any earnings will result.

21. Limit of liability

To the extent the law allows, Makesbridge is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities. Our total liability for any claim relating to the Service is limited to the greater of the fees you paid us in the 12 months before the claim, or $100.

22. Indemnity

You agree to defend and hold harmless Makesbridge and its directors, officers and employees from claims, losses and costs, including reasonable attorneys' fees, arising from your Member Content, your recordings, email and automations sent on your behalf, the contact data you store, your sharing, your use of the Service, or your breach of these Terms or the law.

23. Suspension and termination

You can stop using the Service at any time and ask us to delete your account under Section 17. We may suspend or close your account if you breach these Terms, if the law requires it, or if your conduct harms other Members, guests, recipients or the Service. When an account closes, your right to use the Service ends, Section 7.5 governs earnings, and fees already owed remain due. Sections 6.9, 9.2 to 9.4, 10, 11.3, 12.3, 13.1, 14, 15.1 and 18 to 25 continue after termination.

24. Changes to these Terms

We may update these Terms. For significant changes we will give notice in the Service or by email before they take effect. If you continue to use the Service after that, the new Terms apply. If you do not agree, stop using the Service and cancel.

25. Law, disputes and app stores

25.1 Governing law

These Terms are governed by the laws of the State of Oregon and applicable U.S. federal law, without regard to conflict-of-law rules.

25.2 Informal resolution

Before starting a formal claim, send a written description of the dispute to support@makesbridge.com. You and we will each try to resolve it informally for 30 days.

25.3 Binding arbitration

If the dispute is not resolved, it will be settled by binding individual arbitration administered by the American Arbitration Association under its rules then in effect, before a single arbitrator. The arbitration will take place in Portland, Oregon, or by video. Judgment on the award may be entered in any court with jurisdiction.

Either of us may instead bring an individual claim in small claims court if it qualifies. Either of us may go to court to stop infringement or misuse of intellectual property.

25.4 No class actions

Claims may be brought only individually, not as a plaintiff or class member in any class, consolidated or representative proceeding. The arbitrator may not combine more than one person's claims.

25.5 Opting out of arbitration

You may opt out of Sections 25.3 and 25.4 by emailing support@makesbridge.com within 30 days of first accepting these Terms. Include your name and the email on your account.

25.6 Courts

Any dispute not subject to arbitration will be heard in the state or federal courts in Multnomah County, Oregon. You and we agree to their jurisdiction.

25.7 Apple App Store

If you obtained the app from the Apple App Store:

25.8 Google Play

If you obtained the app from Google Play, these Terms are an agreement solely between you and Makesbridge, and not with Google. Google is not responsible for, and has no liability under, these Terms or the app. Makesbridge, not Google, is responsible for the app, its support and its maintenance, and for any claims relating to it. Your use of Google Play is also subject to Google Play's terms, and to the extent these Terms conflict with the terms that govern the app's distribution through Google Play, those terms control as to that conflict.

25.9 General

If any part of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a term is not a waiver of it. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets. These Terms, the Privacy Policy and the Anti-Spam Policy are the whole agreement between you and us about the Service.
